Introduction to the Position
The ideal candidate should read the following carefully before applying:
- Carry out the role of Head of Legal and Company Secretary of FrieslandCampina WAMCO Plc.
- To provide company secretarial and corporate governance related advise to FrieslandCampina WAMCO Plc. which includes statutory filings, statutory audit, procurement of board resolutions, deal with public listed company regulatory issues and stock market listing requirements.
- Arrange and conduct board meetings and general meetings, publication of annual report.
- Mitigate legal risks arising from medium and highly complex and strategic commercial transactions, such as local partnerships.
- Act as an essential point of contact to both the board of directors and management team of FrieslandCampina WAMCO and other senior stakeholders operating from and in FrieslandCampina’s operating company in Nigeria and act as their Legal expert and trusted business advisor.
- Manage a broad range of legal matters, varying from sales and distribution agreements to corporate housekeeping, supply chain and procurement related matters.
- Develop and to maintain strong relationships with your business partners (board of directors, management, sales, marketing, procurement, supply chain, regulatory affairs, etc.).
- Draft, review and negotiate a variety of commercial agreements such as distribution, sales, supply and procurement.
- Drive awareness of and mitigate risks re (new) local regulations and legislation.
- Handle and to follow up on local litigation, manage external counsel and provide interactive training programs to create solid legal awareness within the local organization.
- Ensure the local rollout of global programs and (digital) tools such as SalesForce and Compass.
- Lead and further develop the local Legal, Ethics & Compliance team in Nigeria, consisting of one Legal Counsel and one legal professional.
- Work closely together with fellow Legal professionals, based around the globe, to align and co-create legal strategies, advice and tools.

What We Ask
- In order to be successful in this position, we expect you to be a qualified lawyer (common law), with excellent academic credentials.
- You have at least ten (10) years of relevant experience in the field of commercial/contract law, (preferably) gained in an internationally oriented law firm and/or as an in-house counsel, preferably in the FMCG industry.
- Relevant experience as company secretary / corporate governance professional in public listed companies listed on the exchange in Nigeria is a must.
- We expect you to be fluent in English, both written and verbal. Fluent in Hausa, Igbo and/or Yoruba is considered to be a plus.
